Advanced Implementation of Snow License Manager for 2,500-3,499 endpoints

SCOPE OF ENGAGEMENT

This SCOPE OF ENGAGEMENT (“SOE”), together with the Agreement between the CDW entity selling the Services described herein (“Seller”) and the customer ordering such Services (“Customer”) shall be deemed to be a contract upon Seller’s acceptance of Customer’s order.

SELLER RESPONSIBILITIES
Includes the following tasks:
•Implementing installation & configuration of Snow License Manager via online portal – additional detailed reqs & product specs to be sent upon purchase
•Importing Entitlements for Microsoft License Statement (MLS) & current state entitlements from one Adobe volume license statement
•Performing 90 min online training for License Admins after implementation
•Performing 2-day certified training for 1 user at corporate center in Austin, TX; Customer responsible for travel & expenses

CUSTOMER RESPONSIBILITIES
Includes the following tasks:
•Complying w/system reqs
•Obtaining necessary consents & take other actions required by law, incl. privacy laws, prior to disclosing info.
•Ensuring data transferred or hosted outside of the US adheres to governing laws & regulations; Identifying/Interpreting laws, regulations or data that Provider will have access to during Service and that systems, programs & data meet reqs of those laws, regulations & statutes
•Limiting access to Customer network &/or facilities only as needed to perform services

ENGAGEMENT PLANNING & MANAGEMENT
Includes the following tasks:
•Scheduling kick-off call
•Providing Project Manager

OUT OF SCOPE
•Performing any Services not specified herein
•Tying licenses to named computers, named users or organizational unit nodes
•Tying upgrades to base licenses
•Utilizing invalid license documents (incomplete licenses)
•Tying maintenance renewals to base licenses
•Utilizing invalid license documents
•Creating custom reports or any customization

ITEM(S) PROVIDED
•Additional requirement and product spec language

SERVICES FEES
The fees due under this SOE include fees for Services and related expenses, as specified in the applicable order

CUSTOMER LOCATIONS
Seller will provide Services remotely

PROJECT-SPECIFIC TERMS
1.Customer is responsible for providing all physical and network access, properly functioning hardware and software, and qualified personnel necessary for Seller’s performance of the Services
2.Customer will provide in advance all applicable Customer safety and security rules/procedures
3.Customer is responsible for all data, including back-up
4.Customer will provide reasonable cooperation with, and support of, Seller’s scheduling and performance
5.Customer will sign Seller’s project sign-off form upon completion of the Services
6.All Services will be performed remotely, during Customer’s normal business hours
7.Any changes to this SOE shall require a Change Order executed by both parties

CONTACT PERSON
Each party will appoint a person to provide approvals/decisions (“Contact Person”)

TERMS AND CONDITIONS
This SOE shall be governed by Seller’s “Terms and Conditions of Product Sales and Service Projects,” which are accessed via the Terms & Conditions link on Seller's website (the “Agreement”) and are incorporated herein
