SCOPE OF ENGAGEMENT

This SCOPE OF ENGAGEMENT (“SOE”), together with the Agreement between the CDW entity selling the Services described herein (“Seller”) and the customer ordering such Services (“Customer”) shall be deemed to be a contract upon Seller’s acceptance of Customer’s order.

SELLER RESPONSIBILITIES
Includes the following tasks:
•Migrating up to 40GB from a limited number of folders (i.e. My Documents); CUSTOMER IS RESPONSIBLE FOR BACKUP, THIS IS A MIGRATION NOT A BACK UP; PROVIDER NOT RESPONSIBLE FOR MIGRATING FILES THAT CUSTOMER DOES NOT HAVE PERMISSION TO COPY
•Disconnecting Customer provided AC power supply, UPS, cables from keyboard, mouse, monitor, network and neatly packing them w/ Desktop/Laptop
•Packaging desktop/Laptop PC in 1 location
•Unpacking new Desktop/Laptop PC
•Sorting software, documentation, hardware; providing media and documentation for Customer records
•Connecting PC to pre-existing AC power supply/UPS; neatly dress cable
•Attaching Customer provided cables from keyboard, mouse, monitor, network and neatly dressing them, when possible
•Installing up to 3 programs and 3 non-networked peripherals
•Checking basic system functionality
•Configuring email and loading necessary drivers
•Connecting to existing network via existing network jack or wireless router
•Verifying existing internet connectivity via web browser through a hard data connection to a switch/router and wireless network connection if available
•Removing packing materials to an on-site dumpster/other trash receptacle
•Scheduling of all technicians
•Communicating w/ end-user and technician as needed

CUSTOMER RESPONSIBILITIES
Includes the following tasks:
•Providing w/ sufficient access and only as necessary to perform Services: working space for technician; tools, items, access to network, usernames, passwords, and configurations
•Backing up all data/configurations

ASSUMPTIONS
•Provider not responsible for Customer data loss

ENGAGEMENT PLANNING and MANAGEMENT
Includes the following tasks:
•Calling Customer within 24 hrs (excluding weekends) of receiving notification
•Scheduling work within 72 hrs of receiving equipment
•Performing all work in single site visit, during regular business hours
•Completing work orders w/ project sign-off form

OUT OF SCOPE
•Electrical work and In Wall Cabling
•Installation of additional components/software
•Destroying data
•Performing any Services not specified herein

SERVICES FEES
The fees due under this SOE include fees for Services and related expenses, as specified in the applicable order

CUSTOMER LOCATIONS
Seller will provide Services at mutually agreed U.S. location

PROJECT-SPECIFIC TERMS
1.Customer is responsible for providing all physical and network access, properly functioning hardware and software, and qualified personnel necessary for Seller’s performance of the Services
2.Customer will provide in advance all applicable Customer safety and security rules/procedures
3.Customer is responsible for all data, including back-up
4.Customer will provide reasonable cooperation with, and support of, Seller’s scheduling and performance
5.Customer will sign Seller’s project sign-off form upon completion of the Services
6.All Services will be performed at a single site, during Customer’s normal business hours
7.Any changes to this SOE shall require a Change Order executed by both parties

CONTACT PERSON
Each party will appoint a person to provide approvals/decisions (“Contact Person”)

TERMS AND CONDITIONS
This SOE shall be governed by Seller’s “Terms and Conditions of Product Sales and Service
