Establishing a clear understanding of the steps necessary to improve an existing application Customer has deployed SCOPE OF ENGAGEMENT

This SCOPE OF ENGAGEMENT (“SOE”), together with the Agreement between the CDW entity selling the Services described herein (“Seller”) and the customer ordering such Services (“Customer”) shall be deemed to be a contract upon Seller’s acceptance of Customer’s order.

Includes the following tasks:
•Assessing user interface & user experience, a representative code sample, & integration with web systems of an existing app deployed by Customer
•Providing a sequence of engineering workshops for Customer’s chosen small team
•Generating an action plan with recommendations with acquired data from on-site discussions & pre-module questionnaire

Includes the following tasks:
•Scheduling meetings for interviews with appropriate Customer personnel
•Providing access to Customer apps, systems, network &/or facilities only as needed to perform services
•Completing a pre-module questionnaire before onsite engagements
•Deciding before onsite engagements begin which existing app Customer has deployed is to be evaluated

•The engagement provides assessment, reporting, & engineering workshops only
•Customer will provide appropriate access to Customer facilities & software as needed where hardware is located & work is to be performed
•Customer’s chosen small team must consist of no more than 5 engineers & 2 designers
•Customer is responsible for any decisions regarding implementation of any action plans provided by Seller. Seller is not responsible for any errors or omissions, or for the results obtained from the use of the action plans. Seller provides the action plans "as is", with no guarantee of completeness, accuracy, and without warranty of any kind

Includes the following tasks:
•Pre-module questionnaire completed by Customer before onsite engagements begin
•Deciding upon which app to be evaluated before onsite engagements begin
•5 day onsite, evaluation of an existing app Customer has deployed & related engineer workshops
•Generation of a 30-60-90 day action plan with recommendations after onsite engagements

•Any follow-up work resulting from the assessment will be governed by a separate Agreement mutually agreed to and executed by the Parties
•Performing any Services not specified herein

•Review of an existing app deployed by the Customer
•30-60-90 action plan of next steps

The fees due under this SOE include fees for Services and related expenses, as specified in the applicable order

Seller will provide Services at mutually agreed U.S. location

1.Customer is responsible for providing all physical and network access, properly functioning hardware and software, and qualified personnel necessary for Seller’s performance of the Services
2.Customer will provide in advance all applicable Customer safety and security rules/procedures
3.Customer is responsible for all data, including back-up
4.Customer will provide reasonable cooperation with, and support of, Seller’s scheduling and performance
5.Customer will sign Seller’s project sign-off form upon completion of the Services
6.All Services will be performed both onsite and remotely, during Customer’s normal business hours
7.Any changes to this SOE shall require a Change Order executed by both parties

Each party will appoint a person to provide approvals/decisions (“Contact Person”)

This SOE shall be governed by Seller’s “Terms and Conditions of Product Sales and Service Projects,” which are accessed via the Terms & Conditions link on Seller's website (the “Agreement”) and are incorporated herein
